These Terms of Service (the "Terms") are a contract between you and U.CASH Inc. ("U.CASH", "we", "us") and govern your access to and use of the U.CASH apps, websites, and infrastructure (the "Services").
These Terms apply to every U.CASH app and website, including pay.u.cash, swap.u.cash, buy.u.cash, names.u.cash, agents.u.cash, verify.u.cash, send.u.cash, portal.u.cash, ai.u.cash, una.u.cash, uantum.u.cash, status.u.cash, and any related subdomains, mobile interfaces, application programming interfaces (APIs), software development kits (SDKs), and documentation (together, the "Services").
Some Services have additional terms in a per-app rider. Where a rider applies, it adds to and is read together with these Terms. If a rider conflicts with these Terms on a point specific to that Service, the rider governs that point only.
"U.CASH", "we", "us", and "our" mean U.CASH Inc., a corporation governed by the laws of Ontario, Canada. "You" means the person or entity that accesses or uses the Services. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
You may not use the Services if you are located in, or are a resident or citizen of, a sanctioned or restricted region, or if your use would violate applicable law. You are responsible for ensuring that your use of the Services complies with all laws that apply to you, including sanctions, anti-money-laundering (AML), tax, and consumer-protection laws.
This is the most important section of these Terms.
U.CASH is non-custodial software. U.CASH does not hold, store, control, pool, custodially manage, or transmit your funds, digital assets, private keys, seed phrases, or credentials at any time. Value moves directly between users and their own wallets on public blockchains. U.CASH software reads, indexes, detects, verifies, and renders on-chain activity; it does not take possession of it.
Because U.CASH never controls your funds:

We may add, change, rename, restrict, or discontinue any Service or feature at any time. We do not guarantee that any Service will be uninterrupted, error-free, available in your region, or continue to be offered.
Some Services require a U.CASH account or a connected wallet. You are responsible for maintaining the accuracy of your account information and for all activity under your account or from your wallet.
You are solely responsible for safeguarding your private keys, seed phrases, passwords, API keys, and devices. U.CASH has no ability to recover lost or stolen keys or to reverse transactions authorized by your keys. Treat your seed phrase as irreplaceable. Anyone who controls your keys controls your funds.
You agree to provide accurate information where requested, to keep your contact details current, and to notify us promptly of any unauthorized use or security incident.
Transactions on public blockchains are generally irreversible. Once a transaction is signed and confirmed, it normally cannot be reversed, undone, or refunded, including if you send to the wrong address, send the wrong amount or asset, interact with a malicious contract, or fall victim to fraud.
U.CASH has no ability to reverse, recall, or guarantee any on-chain transaction. You must verify all recipient addresses, amounts, networks, and fees before signing. Blockchain networks also charge their own fees (often called "gas"), which U.CASH does not control and which are paid to network validators, not to U.CASH.
U.CASH may charge fees for some Services. Each Service discloses any fees it charges within that app or its rider before you act. Unless a rider says otherwise, U.CASH platform fees are charged in UCASH and are debited from a prepaid, non-withdrawable service credit on your account.
Buyers pay sellers directly and in full; U.CASH does not sit between buyer and seller funds. Fees may also include third-party costs passed through to you, such as card-processing fees from payment providers, decentralized-exchange and liquidity fees, or domain-registration fees. Network gas fees are set by the blockchain, not by U.CASH.
Fees are subject to change. We will give notice of material fee changes as described in Section 17. You are responsible for any taxes payable as a result of your use of the Services or your transactions.
If you use the Services to accept payments or run a business, you are the seller of record for your own goods and services. You are solely responsible for:
Where a Service routes a card or fiat leg through a third-party payment processor (such as Stripe, PayPal, or Verifone), the terms of that processor apply to that leg, and U.CASH is not a party to it.
Several Services interact with third-party smart contracts, decentralized exchanges, liquidity pools, bridges, aggregators, indexes, or domain registries that U.CASH does not own or control. These include, for example, the routers and liquidity sources used by Swap and the Unstoppable Domains registry used by Names.
These third-party protocols may fail, contain bugs or vulnerabilities, be exploited, freeze, delist assets, change their rules, or suffer outages, with or without notice. U.CASH does not warrant their operation, security, or continued availability. Any loss you suffer as a result of a third-party protocol is your responsibility. See the relevant rider for the specific risks of each Service.
You may not use the Services for any purpose that is unlawful or prohibited by the Acceptable Use Policy, or in any way that could damage, disable, overburden, or impair the Services. The Acceptable Use Policy is incorporated into these Terms by reference, and a breach of it is a breach of these Terms.
Without limiting the above, you may not use the Services to facilitate activity for sanctioned persons or regions, to launder the proceeds of crime, or to obscure the illicit origin of funds.
The Services, including the U.CASH name, logos, designs, software, text, and documentation, are owned by U.CASH Inc. or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services as permitted by these Terms.
You retain ownership of content you submit (such as store branding or product listings), and you grant U.CASH a worldwide, royalty-free license to host, store, transmit, and display that content solely as needed to operate the relevant Service for you.
We respect the intellectual-property rights of others. To report infringing content, see our Copyright (DMCA) Policy.
The Services are provided "as is" and "as available", with all faults, and without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, U.CASH disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty that the Services will be uninterrupted, error-free, secure, or accurate.
U.CASH does not warrant that any blockchain, smart contract, token, liquidity source, exchange rate, or third-party integration will function as expected or be available. Cryptocurrency and digital assets are volatile and may lose value. The Services do not constitute financial, legal, tax, investment, or trading advice.
To the maximum extent permitted by applicable law, in no event will U.CASH be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, funds, digital assets, data, or goodwill, whether based on contract, tort (including negligence), statute, or any other theory, arising out of or related to these Terms or the Services.
Because U.CASH is non-custodial and never controls your funds, U.CASH will not be liable for any loss of funds or digital assets, including loss arising from lost or compromised keys, erroneous transactions, third-party protocol failures, network congestion, fraud, or unauthorized access to your wallet or account.
The total aggregate liability of U.CASH for any claim arising out of or related to these Terms or the Services will not exceed the greater of (a) the amounts you paid to U.CASH for the Service giving rise to the claim in the twelve (12) months preceding the event, or (b) one hundred US dollars (US$100). Some jurisdictions do not allow certain liability limitations, so some of the above limits may not apply to you.
You agree to indemnify, defend, and hold harmless U.CASH Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, settlements, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services; (b) your breach of these Terms or the Acceptable Use Policy; (c) your violation of any law or the rights of any third party; or (d) any content or transactions you submit or initiate.
These Terms begin when you first use the Services and continue until terminated. You may stop using the Services at any time. Because U.CASH is non-custodial, terminating your account does not affect funds held in your own wallets.
We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, including if we reasonably believe you have breached these Terms or the Acceptable Use Policy, if required by law, or to protect the integrity of the Services. On termination, the provisions that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnity, and dispute resolution) will remain in effect.
Governing law. These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
Informal resolution. Before filing a claim, you and U.CASH agree to first try in good faith to resolve any dispute informally for at least thirty (30) days following written notice to [email protected].
Arbitration. Except for claims that may be taken to small-claims court and the matters in "Class-action waiver" below, any dispute that is not resolved informally will be resolved by final and binding arbitration administered in Toronto, Ontario, under the laws of Ontario, by a single arbitrator, rather than in court. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Class-action waiver. You and U.CASH agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
We may change these Terms from time to time. We will post the updated Terms on this page and update the "Effective" date above. For material changes that are likely to affect your rights, we will provide at least thirty (30) days' advance notice by posting a notice on this page and, where practical, by email or an in-app message.
Where a Service requires you to accept terms to continue (for example at sign-up or checkout), a material change may require renewed acceptance. If you continue to use the Services after a change takes effect, you agree to the updated Terms. If you do not agree, you must stop using the Services.
Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable rider, are the entire agreement between you and U.CASH about the Services.
Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
No waiver. Our failure to enforce a right is not a waiver.
Assignment. You may not assign or transfer these Terms or your account without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Third-party beneficiaries. There are no third-party beneficiaries to these Terms.
Notices. We may give notice by posting on the relevant Service, by email, or by in-app message. Notices to us go to [email protected].
The following riders are incorporated into these Terms by reference and add Service-specific terms:
